Never Sign a UAE Contract Without Legal Review

In the UAE, contracts are strictly enforced — courts uphold what is written, not what was verbally agreed. Unfair clauses, missing protections and ambiguous terms are extremely common in UAE contracts, especially those drafted by the other party. Having a lawyer review your contract before signing is the single most cost-effective legal step you can take.

  • Unlimited liability clauses that expose you to enormous financial risk
  • Non-compete clauses that prevent you working in your industry
  • Automatic renewal clauses that lock you in for years
  • Jurisdiction clauses forcing disputes to courts in another country
  • Missing payment terms leaving you unprotected if you are not paid
  • Intellectual property clauses giving the other party rights to your work

Bilingual Contract Services UAE

English & Arabic Contracts — Why Both Matter in UAE

In the UAE, Arabic is the official language of the courts. If a contract dispute goes to court, an official Arabic translation is required. Bilingual contracts drafted from the start save time, cost and legal risk.

English Contract Benefits
  • Clear, accessible for all expat parties
  • International business standard language
  • Enforceable in DIFC Courts
  • Preferred for international transactions
  • Easier for foreign banks and investors
Arabic Contract Benefits
  • Official UAE court language — no translation needed
  • Required for notarization in UAE
  • Stronger enforceability in UAE mainland courts
  • Faster court processing in disputes
  • Required for government and licensing contracts

We draft all contracts bilingually in English and Arabic as standard — giving you maximum enforceability in all UAE courts.

Contract Law FAQ Dubai UAE

Common Contract Law Questions in Dubai UAE

Verbal contracts can be legally valid in the UAE but are extremely difficult to enforce without written evidence. UAE courts require clear proof of an agreement — verbal agreements become a matter of one party's word against another. Always get agreements in writing. We draft written contracts that accurately capture your verbal arrangements.
Arabic is the official language of UAE courts. While English contracts are enforceable, an official certified Arabic translation is required if the contract is submitted to a UAE court. We recommend drafting all contracts bilingually from the start — saving time and cost if a dispute arises. DIFC Courts accept contracts in English only.
It depends on the contract terms and circumstances. Options include: invoking a termination clause, claiming the contract was signed under duress or misrepresentation, arguing a material breach by the other party, or negotiating a mutual exit. UAE courts can also void contracts that are illegal or against public policy. We assess your specific contract and advise on the best exit strategy.
If a contract is breached in the UAE, you can: send a formal legal demand letter, claim compensation for losses suffered, seek specific performance (forcing the party to perform), terminate the contract, or pursue arbitration or UAE court proceedings. The remedies available depend on the contract terms and the nature of the breach. We advise and represent you in all contract breach situations.
While you can use a template NDA, a poorly drafted NDA may be unenforceable or offer inadequate protection under UAE law. Common issues include: overly broad scope that courts will not enforce, missing specification of what is confidential, no clear remedy for breach, and jurisdiction clauses that do not work in the UAE. Our NDAs are specifically drafted to be enforceable under UAE law.
Standard contract reviews are typically completed within 24–48 business hours. For urgent contracts we offer same-day review for an expedited fee. Complex multi-document reviews or large commercial contracts may take 3–5 business days. Send us your contract and we will confirm the turnaround time and fee upfront.
